DIGITAL SERVICES AGREEMENT & TERMS OF WORK
1. SCOPE OF SERVICES

This agreement covers the website design, website development, and/or social media management services specified in the line items of this quote. Any work requested outside of these explicitly listed items will be considered a "Scope Change" and will be billed separately at our standard hourly rate or via a new price quote.
2. FEES & PAYMENT STRUCTURE

Total Project Fee: The total fee for the selected services is stated in the summary section of this document.

Initial Deposit (50%): A non-refundable deposit equal to fifty percent (50%) of the total fee is required before any strategy sessions, wireframing, development, or content curation begins.

Remaining Balance (50%): The final fifty percent (50%) balance will be invoiced upon project completion. For ongoing monthly social media management, the remaining balance is due prior to the official launch/posting schedule of that month's content.
3. CLIENT RESPONSIBILITIES & ASSET SUBMISSION

To maintain project timelines, the Client must provide all requested branding assets, text copy, high-resolution imagery, and platform login credentials within 7 business days of paying the deposit.

Bottleneck Clause: Delays in submitting assets exceeding 30 days will pause the project indefinitely and may subject the project to a restart fee to re-align our design schedule.
4. REVISIONS & APPROVALS

Website Design/Dev: The total project fee includes up to 2 rounds of revisions during the mockup/design phase. Once the design is approved and development begins, further structural or design changes will incur additional fees.

Social Media Management: Content calendars (graphics, captions, and scheduling grids) will be sent out for review. Silence or failure to request revisions within 10 business days of receipt will be deemed an automatic approval to publish.
5. INTELLECTUAL PROPERTY & TRANSFER OF RIGHTS

All source code, custom graphics, website layouts, and staging environments remain the exclusive property of the Provider until the final 50% balance has been paid in full. Upon receipt of final payment, full ownership, administrator access, and digital rights transfer entirely to the Client. The Provider retains the right to showcase the completed work in their professional portfolio.
6. THIRD-PARTY FEES

The Client is independently responsible for all ongoing third-party platform costs, including but not limited to: Wix hosting subscriptions, domain registrations, premium font/plugin licenses, and paid social media advertising spend.
7. ACCEPTANCE OF TERMS & DIGITAL SIGNATURE

By clicking "Accept & Pay" on this Wix Price Quote and completing the initial 50% deposit payment, you certify that you are an authorized representative of your business and explicitly agree to all terms, timelines, and payment conditions outlined in this agreement.
